1. General Applicability<\/span><\/b><\/p>

These terms and conditions apply to all deliveries and sales by Adore Floors Europe (referred to as ADORE) unless explicitly agreed otherwise in writing. By placing an order or signing an agreement with ADORE, the customer accepts these terms and conditions. Any terms proposed by the customer, whether general or specific, will not be binding on ADORE.<\/span><\/p>

2.Quotations<\/span><\/b><\/p>

All quotations are non-binding and subject to errors. Quoted prices are valid for the period specified in the offer. If no period is specified, the offer is valid for 15 days from the date of issuance.<\/span><\/p>

3. Price Changes<\/span><\/b><\/p>

All prices in offers, agreements, and order confirmations are subject to change due to factors like raw material price increases or scarcity. ADORE may postpone or cancel the order without owing compensation to the customer. The customer may cancel the order without incurring costs.<\/span><\/p>

4. Right to Modify or Refuse Orders<\/span><\/b><\/p>

ADORE reserves the right to change conditions and prices provided by its representatives or to refuse orders.<\/span><\/p>

\u00a0<\/span><\/p>

5. Risk Transfer<\/span><\/b><\/p>

The risk of goods delivered by ADORE passes to the customer at the time of delivery.<\/span><\/p>

\u00a0<\/span><\/p>

6. Retention of Title<\/span><\/b><\/p>

Goods remain ADORE\u2019s property until full payment is received. In case of resale, ADORE retains the right to claim the value of the resold goods. Upon delivery, the customer assumes all risks, including force majeure. If payment is not made by the due date, ADORE reserves the right to reclaim the delivered goods.<\/span><\/p>

7. Delivery Times<\/span><\/b><\/p>

Delivery times are indicative. ADORE is not liable for penalties or damages due to late delivery. The risk transfers upon delivery to the customer or the designated carrier. The customer is responsible for ensuring the transport costs and risks and inspecting the goods upon arrival.<\/span><\/p>

8. Late Delivery<\/span><\/b><\/p>

Delivery delays do not entitle the customer to compensation or order cancellation. Compensation for late delivery is only possible if agreed in writing and no force majeure is involved.<\/span><\/p>

9. Complaints and Liabilities<\/span><\/b><\/p>

Deviations do not justify complaints or liability on ADORE’s part. ADORE is not liable for manufacturer changes in composition, sizes, or colour.<\/span> \u00a0ADORE\u2019s liability for recognized quality defects is limited to the replacement of goods and will only accept a fair rate for refitting costs subject to confirmation from ADORE. <\/span><\/p>

10. Product Responsibility<\/span><\/b><\/p>

ADORE\u2019s responsibility and guarantees are limited to the manufacturer’s guarantees. Goods not returned within 20 days are considered compliant. Recognised quality defects will be addressed by replacing the goods only.<\/span><\/p>

\u00a0<\/span><\/p>

11.Termination<\/span><\/b><\/p>

In case of death, incompetence, bankruptcy, company dissolution, or non-payment, ADORE may dissolve the agreement or postpone delivery, demanding immediate payment for delivered goods.<\/span><\/p>

\u00a0<\/span><\/p>

12. Order Cancellation<\/span><\/b><\/p>

Customer order cancellations incur a fixed compensation of 30% of the order value, with a minimum of EUR 250.00.<\/span><\/p>

\u00a0<\/p>

13. E-commerce<\/span><\/b><\/p>

Customers wishing to sell ADORE products online must have written approval from an ADORE director and comply with ADORE\u2019s e-commerce terms. Non-compliance may result in account closure. Promotional images remain ADORE\u2019s property.<\/span><\/p>

– Full technical support must be available online.<\/span><\/p>

– Company brands must be displayed as specified.<\/span><\/p>

– After-sales support must be clearly indicated.<\/span><\/p>

– The customer is responsible for any product damage during transit from the customer to the consumer.<\/span><\/p>

\u00a0<\/span><\/p>

14. Invoice Complaints<\/span><\/b><\/p>

Any objections or complaints regarding invoices must be sent to ADORE within eight days of invoice receipt.<\/span><\/p>

\u00a0<\/span><\/p>

15. Payment Terms<\/span><\/b><\/p>

Without a special written agreement, all payments are due within 30 days net from the invoice date. Late payments incur 10% annual interest and a fixed compensation of 10%, with a minimum of EUR 250, plus additional collection costs.<\/span><\/p>

\u00a0<\/span><\/p>

16. Non-payment Consequences<\/span><\/b><\/p>

ADORE reserves the right to terminate the agreement, suspend deliveries, or halt work without notice if invoices are not paid by the due date, without entitling the client to compensation.<\/span><\/p>

\u00a0<\/span><\/p>

17. Invoice Acceptance<\/span><\/b><\/p>

Payment without reservation of any part of the invoice constitutes acceptance of the invoice and the goods supplied by ADORE.<\/span><\/p>

\u00a0<\/span><\/p>

18. Governing Law<\/span><\/b><\/p>

\u00a0<\/p>

All agreements between ADORE and the customer are governed exclusively by Irish law. In case of disputes, only the courts in the judicial district of Dublin have jurisdiction.<\/span><\/i><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t
